TERMS OF SERVICE AGREEMENT

Welcome to the Terms of Service Agreement ("Agreement") for Squadra Piloti, LLC ("Squadra Piloti").  The Agreement describes the terms and conditions applicable to your use of our services available at http://www.squadrapiloti.com (the "Web Site").  You must read, agree to, and accept all of the terms and conditions contained in this Agreement and the Privacy Policy (http://www.squadrapiloti.com/privacy.html), which include those terms and conditions expressly set out below and those incorporated by reference, before you may become a member of the Squadra Piloti Web Site.  By using the Web Site, you accept, without limitation or qualification, these terms and conditions.  We may revise these terms and conditions at any time without prior notice by updating this page and such revisions will be effective upon posting to this page.  Please check this page periodically for any changes.  Your continued use of the Web Site following the posting of any revisions to these terms and conditions will mean that you accept those changes.

TERMS AND CONDITIONS

1.1  The Web Site is a Venue.  The Web Site acts as a venue to provide members with contact information to other members who are owners and/or operators of vehicles, enabling members to arrange for the short-term exchange of one or more vehicles, either through a cash payment or a mileage exchange (collectively, "Exchange Mechanisms"). Members of the Web Site acknowledge that the role of Squadra Piloti is limited to the collection of such contact information from its members and the provision of such information about its members to other members.  Squadra Piloti does not participate in any transactions among its members and cannot ensure that a member for whom contact information has been provided will agree to a vehicle exchange through one of the Exchange Mechanisms.  In addition, Squadra Piloti is not responsible for any damages or other negative events that may occur between Squadra Piloti members following a match and/or exchange.  By way of illustration and not as a limitation, if two Squadra Piloti members are matched and enter into an agreement to exchange vehicles, and one member causes damage to the other member’s vehicle while driving it, Squadra Piloti will not be liable for such damage.

1.2  Membership Eligibility.  Our services are available only, and may only be used by, individuals who can form legally binding contracts under applicable law (persons aged 18 and over).  Further, your Squadra Piloti membership may not be transferred or sold to another party.

1.3  Member Information.  As a member of the Web Site, you agree that the information you provide Squadra Piloti, including contact information and information relating to your vehicle(s) and vehicle driving preferences, will be complete and accurate, and that you will provide Squadra Piloti with updated information as necessary.  Squadra Piloti makes no representations or warranties as to the accuracy or completeness of member information, and you agree that Squadra Piloti is not liable for, and you will indemnify and hold Squadra Piloti harmless for, any inaccuracies or omissions contained therein.  Squadra Piloti strongly encourages its members to carefully and independently evaluate the information provided about other members before entering into privately negotiated transactions with them.

1.4  Feedback System.  Squadra Piloti has established a user-initiated feedback system to aid members in better evaluating potential transaction partners while conducting independent due diligence on other members.  Through the feedback system, you may leave comments about a match counterpart’s treatment of your vehicle, his or her willingness to enter into an agreement offline regarding the use of your vehicle, etc.  All comments posted through the feedback system come from our members, and they are not verified by Squadra Piloti.  You agree that any feedback you post will not include content that is illegal, obscene, threatening, defamatory, or invasive of privacy and that it does not contain commercial solicitations, chain letters, mass mailings, or any form of "spam."  Squadra Piloti reserves the right, but does not assume the obligation, to remove or edit such content.  All feedback submitted or posted to the Web Site becomes the property of Squadra Piloti, and we have sole discretion in determining whether to post such feedback on the Web Site.  If you post feedback, you grant to Squadra Piloti a non-exclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such feedback.  Squadra Piloti takes no responsibility and assumes no liability for any content posted by you or any third party.

1.5  Release.  If you have a dispute with one or more Web Site members, you release Squadra Piloti (and its officers, directors, agents, subsidiaries, joint venturers, and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.  If you are a California resident, you waive California Civil Code § 1542, which says;  "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

1.6  Information Control.  Squadra Piloti does not control the information provided by its members.  You may find other members’ information to be offensive, harmful, inaccurate, or deceptive.  By using the Web Site, you agree that Squadra Piloti is not responsible for the acts or omissions of the members of the Web Site.

2.  Price Structure.  There is no charge for becoming a member of Squadra Piloti.   We endeavor to create mutually beneficial matches between our members based upon their preferences, and we inform members when we have identified potential matches for them.  Once both parties have expressly agreed to a proposed match, each is charged for access to the contact information Squadra Piloti has on file for the counterparty to that match.  The price charged for such contact information is typically based on the vehicles involved in the match and is typically between $19.95 and $99.95.  Members are informed of the cost of a particular proposed match prior to deciding whether to accept it.  The fee charged covers only the provision of contact information for the counterparty to the match.  Our fees are non-refundable, even if the counterparty to a match does not ultimately agree to a vehicle exchange.

3.1  Members' Use of Web Site.  The materials on the Web Site are provided for your personal, non-commercial use.  You are prohibited from distributing, modifying, transmitting, reusing, reposting or using any of the materials for public or commercial purposes without the express written permission of Squadra Piloti.  Elements of the Web Site are protected by trademark, copyright and other laws and may not be copied or imitated in whole or in part.  No logo, graphic or image from the Web Site may be copied, distributed, modified, transmitted, reused, reposted or used for any public or commercial purpose unless expressly permitted by Squadra Piloti.  All copyright and other proprietary notices must be retained and shall not be altered.

3.2  Copyright.  All copyrightable material on this Web Site is protected by U.S. and international copyright laws and treaty provisions, including the compilation of content and the overall design of the Web Site.  The content of the Web Site may not be distributed, modified, transmitted, reused, reported, uploaded, downloaded, published or used for public or commercial purposes without Squadra Piloti’s express written permission.

4.1  Information Database.  You agree that any information, postings, or other materials you provide to the Web Site and/or to Squadra Piloti, including personal contact information, vehicle preferences, the make and model of your vehicle(s), and ancillary information such as mileage exchange ratios, will become the property of Squadra Piloti and may be incorporated into its database, and as such, Squadra Piloti will have the unrestricted right to use all or any portion of it for any purpose, commercial or otherwise, without the need to compensate you.  You also represent that the information you provide is accurate and complete.  Any communication or material that you transmit to the Web Site by electronic mail, including any data, questions, suggestions or the like is, and will be treated as non-confidential and non-proprietary information.  Squadra Piloti, or any of its affiliates, may use such communication or material for any purpose whatsoever including, but not limited to, reproduction, disclaimers, transmission, publication, broadcast and further posting.

4.2  Database Accuracy.  Squadra Piloti makes no representation or warranty as to the accuracy or completeness of the self-reported member information included in the Squadra Piloti database.

5.  Trademarks.  SQUADRA PILOTI and the SQUADRA PILOTI Logo are trademarks of Squadra Piloti, LLC and are protected by U.S. trademark law  The SQUADRA PILOTI trademarks may not be used in connection with any product or service that is not Squadra Piloti’s or in any manner that disparages or discredits Squadra Piloti.  Your misuse of the trademarks on this Web Site is strictly prohibited.  In addition, other materials on the Web Site are protected by copyright and/or other intellectual property laws and any unauthorized use of the materials on the Web Site may violate such laws.  Nothing contained in this Web Site should be construed as granting, by implication, estoppel or otherwise, any license to use Squadra Piloti’s trademarks, copyrighted materials or other intellectual property in connection with any product, service, publication or web site without the express written permission of Squadra Piloti.

6.  Changes to Web Site.  Squadra Piloti reserves the right to alter or delete material from the Web Site at any time, for any reason, without notification to anyone.

7.  Links.  Squadra Piloti has not reviewed all of the web sites that may be linked to or from this Web Site, and it neither endorses nor accepts responsibility for the content of any such sites.  If you choose to go to sites linked to or from the Web Site, you do so at your own risk.

8.  DISCLAIMER:  THE MATERIALS ON THE WEB SITE ARE PROVIDED "AS IS" AND SQUADRA PILOTI DISCLAIMS ANY EXPRESS OR IMPLIED REPRESENTATIONS, WARRANTIES, GUARANTIES, AND CONDITIONS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE EXTENT THAT SUCH DISCLAIMERS ARE LEGALLY PERMISSIBLE.  SQUADRA PILOTI MAKES NO REPRESENTATIONS, WARRANTIES, GUARANTIES, OR CONDITIONS AS TO THE SUITABILITY, ACCURACY, TIMELINESS, AVAILABILITY, RELIABILITY OR COMPLETENESS OF THE MATERIALS CONTAINED ON THE WEB SITE.  SQUADRA PILOTI DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE MATERIALS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS WEB SITE OR THE SERVER(S) THAT MAKE THE WEB SITE AVAILABLE OR ANY ADVERTISED OR LINKED WEB SITES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SITE, SERVER(S) , OR ADVERTISED OR LINKED SITES WILL BE ACCESSIBLE AT ALL TIMES.

9.  LIMITATION ON LIABILITY.  SQUADRA PILOTI SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THIS WEB SITE, ANY INFORMATION CONTAINED IN THE SITE, OR OF ANY WEB SITE REFERENCED IN OR LINKED TO THIS SITE, NOR SHALL SQUADRA PILOTI BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH ANY PRIVATELY NEGOTIATED AGREEMENTS BETWEENS MEMBERS OF THE WEB SITE (INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES), INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR DAMAGE TO PROPERTY, LOSS OF DATA, BUSINESS, REVENUE, PROFITS OR OTHER DAMAGES, HOWEVER IT ARISES, WHETHER OR NOT SQUADRA PILOTI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ON ANY THEORY OF LIABILITY.  SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10.  Indemnification and Release.  By using the Web Site, you agree to indemnify Squadra Piloti and any parent, subsidiary or affiliated entities, our officers and employees, and officers and employees of any parent, subsidiary or affiliated entities and hold them harmless from any and all claims and expenses, including attorney’s fees, arising from you use of our Web Site and any services or products available through our Web Site.  In addition, you hereby release us and any parent, subsidiary, or affiliated entities from any and all claims, demands, debts, obligations, damages (actual or consequential), costs, and expenses of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, that you may have against them arising out of or in any way related to such disputes and/or to any services or products available at our Web Site.  You hereby agree to waive your rights under all laws that may limit the efficacy of such releases.

11.  Equitable Remedies:  You agree that because of the unique nature of the Web Site and its content, and the proprietary rights of Squadra Piloti, your breach of this agreement would irreparably harm Squadra Piloti and monetary damages would be inadequate compensation.  You further agree that Squadra Piloti shall be entitled to, in addition to any other damages, preliminary and permanent injunctive relief to enforce these Terms.

12.  Applicable Law:  This Web site is created and controlled by Squadra Piloti in the State of California.  The laws of California will therefore govern these Terms, without reference to any principles of conflicts of laws.  Squadra Piloti reserves the right to make changes to its Web Site and to these Terms at any time without notice.  Any changes Squadra Piloti makes to its Web Site or to these terms shall be effective when posted.  By continuing to use the Web Site after such changes are posted, you agree to such changes.

13.  Severability and Enforceability.  If any provision or portion of this Agreement is held illegal, invalid, or unenforceable, in whole or in part, it shall be modified to the minimum extent necessary to correct any deficiencies and shall not affect the legality, validity or enforceability of any other provisions or portions of this Agreement.

You acknowledge that, in providing you access to and use of the Web Site and our services, Squadra Piloti has relied on your agreement to be legally bound by the terms of this Agreement.  If you do not accept these terms and conditions, we are unable to grant you access to www.squadrapiloti.com at this time.
